There are legal obligations under these terms and conditions. AYMRK Media provides a signage display; before using it, please carefully read the terms and conditions.

Important information: You agree to be bound by these terms and conditions and to access or use the signage display in accordance with them by accessing or using it in any other way (as defined below). You are not allowed to access or use the signage display in any other way if you do not agree to be legally bound by and comply with these terms and conditions.

1.OVERVIEW
Welcome to AYMRK Media Private Limited (henceforth referred to as “AYMRK Media”) signs display services. All users of the signage display (the “Signage Display”) in your apartment building that AYMRK Media built and maintains are subject to these terms and conditions (the “Terms”). You agree, without limitation or qualification, to be bound by these Terms and any additional or alternative terms, conditions, rules, and policies that are displayed or to which you may be directed in connection with any specific Signage Display or Service. All of these terms and conditions may be modified from time to time by AYMRK Media in its sole discretion. By using the Signage Display or any of the services available on or through the Signage Display (collectively the “Services”). You are not permitted to use the Signage Display or any of the Services on the Signage Display if you disagree with these Terms.
Please be aware that we reserve the right to alter, amend, add, or remove any part of these Terms at any time, at our sole discretion. Kindly check for updates on a regular basis. You agree to any changes posted to these Terms by continuing to use the Signage Display after such changes have been posted.

2.FUNCTION OF SIGNAGE DISPLAY
Your apartment complex receives the Signage Display free of charge from AYMRK Media. The signage display will include promotional, entertainment, and health-related advertising information. To make sure it is appropriate and relevant for the community, the content is carefully chosen.

3.CONDITIONS OF AYMRK MEDIA
AYMRK Media consents to:
Put in place and keep up the signage display in a noticeable spot inside the apartment building.
Rent for the area where the signage display is situated must be paid each month.
Pay for all of the electricity used to run the signage display.

4.THE ACTIONS BY CUSTOMERS
Through your use of the Signage Display, you agree to abide by these Terms and all applicable laws and regulations. You understand that AYMRK Media has the right to look into any legal infractions and may work with law enforcement to prosecute users for such offenses. And you also consent to refrain from:
– Post, transmit, link to, or otherwise distribute any materials, information or content constituting, advocating or encouraging conduct that would constitute a criminal offense or give rise to civil liability, or otherwise use the Signage Display in a manner which is contrary to law or would serve to restrict or inhibit any other user from using or enjoying the Signage Display or any of the Services.
– Defame, abuse, stalk, harass, threaten or otherwise violate the legal rights of others including, without limitation, rights relating to privacy and publicity.
– Post, transmit, link to, or otherwise distribute any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful material or information.
– Post, transmit, link to, or otherwise distribute any information, materials or content (including for greater certainty, software) which contains a virus, cancelbot, trojan horse, worm or other harmful or disruptive component.

5.DISCLAIMER:
YOU AGREE AND UNDERSTAND EXPRESSLY THAT: (A) THE SIGNAGE DISPLAY AND ANY OF THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS; (B) AYMRK MEDIA SPECIFICALLY MAKES NO WARRANTIES THAT THE SIGNAGE DISPLAY OR ANY OF THE SERVICES, INCLUDING ANY CONTENT, INFORMATION, PRODUCTS OR SERVICES OBTAINED FROM OR THROUGH THE USE OF THE SIGNAGE DISPLAY OR ANY OF THE SERVICES, WILL BE PROVIDED ON AN UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE BASIS

6.PRIVACY
We at AYMRK Media are dedicated to protecting the privacy, security, accuracy, and confidentiality of your information. Our Privacy Policy, which is available at [Privacy Policy URL], governs any information we collect, use, and/or disclose about you in connection with your use of the Signage Display and any of the Services.

7.TERMS AND CONDITIONS CHANGES
Without providing you with prior warning or liability, AYMRK Media retains the right, at its sole discretion, to change, add, or remove any terms or conditions from these Terms. Any modifications to these terms will take effect right away after they are posted on the AYMRK Media website or the Signage Display.

8.INFORMATION PROPOSALS AND DISCUSSIONS
By uploading materials to any chat board or forum available on an AYMRK Media platform (collectively, “Forums”) or submitting any materials through any other content-generating or submitting service on an AYMRK Media platform, you automatically grant AYMRK Media a worldwide, perpetual, royalty-free, irrevocable, and non-exclusive right and license to:
– Use, copy, adapt, transmit, communicate, publicly display and perform, distribute, and create compilations and derivative works from such submitted materials for the purposes of publishing and promoting such materials in connection with the Forum or other service through which the materials were submitted or generated, and for all promotions thereof.
– Apply this license to any form, media, or technology now known or later developed.
– Additionally, you warrant that all “moral rights” in such materials have been waived.
– You also automatically grant AYMRK Media a worldwide, perpetual, royalty-free, irrevocable, and non-exclusive right and license to:
– Televise, broadcast, transmit, exploit, use, communicate, publicly display and perform, distribute, and create compilations and derivative works from such submitted materials in any manner, media, or technology, including but not limited to all forms of television, wireless, and online technology, now known or later developed.
– If you are a minor, you must have permission from your parent or guardian to upload any materials to a Forum. AYMRK Media may request a parent’s or guardian’s email address from anyone who uploads any materials to a Forum for the purpose of verifying that permission has been granted. In the event that material is uploaded without permission, all uploaded material will be removed immediately and without notice to you.
– If you are a minor, you must have permission from your parent or guardian to upload any materials to a Forum. AYMRK Media may request a parent’s or guardian’s email address from anyone who uploads any materials to a Forum for the purpose of verifying that permission has been granted. In the event that material is uploaded without permission, all uploaded material will be removed immediately and without notice to you.
– When participating in a Forum:
Never assume that people are who they say they are, know what they say they know, or are affiliated with whom they say they are affiliated.
– AYMRK Media cannot be responsible for the content or accuracy of any information and will not be responsible for any reliance or decisions made based on such information.
– You may not post, transmit, link to, or otherwise distribute any information, materials, or content that does not generally pertain to the designated topic or theme of the particular Forum.
– Use of a Forum for commercial purposes of any kind is strictly prohibited.
– AYMRK Media reserves the right to refuse to post or to remove any information or materials, in whole or in part, that, in its sole discretion, are unacceptable, undesirable, or in violation of these Terms and Conditions.

9.DISCLAIMER
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
THE AYMRK MEDIA PLATFORM AND ANY OF THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THAT AYMRK MEDIA MAKES NO WARRANTIES, REPRESENTATIONS, OR CONDITIONS (AS USED IN THIS SECTION, “WARRANTIES”) OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT AND THAT ANY SUCH WARRANTIES ARE HEREBY EXPRESSLY DISCLAIMED.
(B) AYMRK MEDIA SPECIFICALLY MAKES NO WARRANTIES THAT THE AYMRK MEDIA PLATFORM OR ANY OF THE SERVICES, INCLUDING ANY CONTENT, INFORMATION, PRODUCTS, OR SERVICES OBTAINED FROM OR THROUGH THE USE OF THE AYMRK MEDIA PLATFORM OR ANY OF THE SERVICES, WILL BE PROVIDED ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS OR THAT SUCH SERVICES OR THE RESULTS DERIVED THEREFROM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

10.PROFESSIONAL INFORMATION DISCLAIMER
The AYMRK Media platform may make available certain information provided by third parties related to various professional fields such as, without limitation, digital signage solutions and related technology (the “Professional Information”).
– The Professional Information is provided for informational and promotional purposes only and should not be interpreted as professional advice or endorsements. Use of the AYMRK Media platform does not replace consultations with qualified professionals.
– While the Professional Information is believed to be accurate and timely, AYMRK Media does not guarantee the accuracy, completeness, or timeliness of the Professional Information. You agree that any reliance on the Professional Information is at your own risk.
– AYMRK Media, including its suppliers, shall not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with your use of, or reliance on, any such Professional Information or the AYMRK Media platform.

AYMRK Media does not have the authority to grant you rights to reproduce, distribute, publicly display, perform, communicate, or create derivative works from any multimedia content found on its site. If search results lead to external sites, all multimedia content on those sites is owned and managed by entities other than AYMRK Media. AYMRK Media provides URLs to such multimedia content solely to identify their servers. If you intend to use any multimedia content accessed through AYMRK Media’s search services for commercial or non-commercial purposes, it is strongly recommended that you seek permission from the content server or owner.

13.OBSERVING
You understand that AYMRK Media is under no need to keep an eye on any content that is available via a AYMRK Media Site, any of the Services, or a AYMRK Media Site. On the other hand, you acknowledge and agree that AYMRK Media is entitled to periodically monitor a AYMRK Media Site electronically, to disclose any information as required to abide by any law, regulation, or other governmental request, to maintain the proper operation of a AYMRK Media Site or any of the Services, or to defend itself and its users in compliance with the Privacy Policy.

14.INFORMATION AVAILABILITY
In order to obtain information about your use of the AYMRK Media Sites and such Services, including the Content you view, how long you view it for, and general details about your device (such as its unique device identification, operating system, installed software, amount of storage space and connectivity, and how you interact with the AYMRK Media Sites and the Services), the AYMRK Media Sites and the Services may grant us limited access to your computer and/or other electronic access device, as applicable. Among other things, this knowledge will allow us to:
– uphold these conditions and terms,
– oversee the rights pertaining to the Content,
– produce performance and usage statistics about how you use the Services and Content,
– show you advertisements depending on your interests,
– gather data in order to maintain security,
– assist you in making better use of the Services, and
assist us in improving and enhancing the Services and Content in any other way.

Changes will become effective when notice of such modifications is posted on an AYMRK Media Site. Please regularly review these Terms and Conditions by checking the “Last Update” date at the top of this document. If any change is unacceptable to you, you must immediately discontinue your use of an AYMRK Media Site and any related Services. Your continued use of an AYMRK Media Site or any Services after posting of any such changes constitutes your acceptance of those changes. Additionally, AYMRK Media reserves the right to alter, modify, suspend, or discontinue any aspect of an AYMRK Media Site, Services, or Content from time to time without prior notice or liability, for any reason.

17.LINKS AND DOWNLOADS
AYMRK Media may offer software applications or other Content for download on its Sites, including files, images, and data (collectively, the “Software”). The Software is provided by AYMRK Media or third parties under terms available during installation. You agree that the Software is licensed for personal, non-commercial use only, and you must not modify it or remove any copyright or proprietary notices. AYMRK Media or designated third parties retain full title and intellectual property rights to the Software. Redistribution, sale, de-compilation, reverse engineering, or any other form of alteration of the Software is prohibited. You are responsible for reviewing and accepting the Software’s terms and conditions, and any risks associated with its use or reliance are your sole responsibility. AYMRK Media and its suppliers are not liable for any loss or damage arising from your use of the Software, including its failure to meet your needs or expectation

18.NETWORKING WITH TERRITORIES
You acknowledge and agree that any dealings or transactions you have with third parties, including merchants or advertisers, on or through AYMRK Media’s platform or Services—including payment for and delivery of goods and services—are solely between you and those third parties. AYMRK Media bears no responsibility for any charges incurred by you or any user of your account during such transactions. It is your responsibility to ensure compliance with all relevant laws for these transactions. AYMRK Media disclaims any liability for any loss or damage arising from or related to such dealings or transactions.

19.PRODUCT BASED ON SUBSCRIPTION SERVICES OR FEE
Certain Services offered on AYMRK Media’s platform may require payment (referred to as “Pay Services”). Pay Services may be provided on a prepaid or periodic subscription basis. Upon purchasing a Pay Service, you will need to register and create a Pay Service Account based on the information provided during registration. You agree to pay all applicable fees (the “Fees”) for the Pay Service, including taxes, using the designated payment method.
– Unless stated otherwise on the Pay Service Description page, Fees for Pay Services are immediately chargeable (and at each renewal period for Subscription Pay Services) to the specified credit card or through another billing process. All Fees are non-refundable. AYMRK Media reserves the right to change Fees or introduce new Fees at any time with notice, including by posting changes on relevant Pay Service pages.
– Subscription Pay Services renew automatically as specified, and Fees for renewals are based on the current rate. You may cancel your subscription at any time, effective at the end of the current subscription period.
– By registering for a Pay Service, you confirm: (a) you are of legal age in your jurisdiction, (b) all information provided is accurate (including credit card details), and (c) you are the cardholder of the designated credit card. By using a Pay Service, you agree: (a) to these Terms and Conditions, including disclaimers and limitations of liability, (b) to be solely responsible for actions on your Pay Service Account, (c) not to use Pay Services for commercial purposes or share them, (d) that coupons or credits may have expiry dates, and (e) AYMRK Media may suspend or terminate your Pay Service Account for breaches of these Terms. Such termination is without prejudice to other available remedies.
– Your use of Pay Services may be subject to limits set by AYMRK Media or your credit card issuer. Failure to charge Fees may result in suspension or termination of your Pay Service Account.

20.RESTRICTIONS FROM OBLIGATION
You acknowledge and agree that under no circumstances shall AYMRK Media, its affiliates, or licensors be liable for any damages, including direct, indirect, incidental, consequential, special, or exemplary damages, or any damages for loss of profits, savings, goodwill, or other intangible losses, whether or not AYMRK Media was advised of the possibility of such damages. This includes:
– The use, inability to use, or performance of any AYMRK Media Services, (b) Unauthorized access to or alteration of your content or transmissions, or (c) Any other matter relating to AYMRK Media or its Services.
– You acknowledge that AYMRK Media has provided its Services, content, and platforms to you relying on these limitations of liability and disclaimers. You agree that these limitations and disclaimers are fundamental to the agreement between you and AYMRK Media. You further agree that these limitations and disclaimers will continue to apply in the event of any fundamental breach of contract, failure of essential purpose, failure of any exclusive remedy, or termination of the agreement.

21.JURISDICTIONAL AND DIRECTING LEGAL ISSUES
All AYMRK Media Sites and Services are operated and administered from Canada by AYMRK Media. AYMRK Media does not warrant that its Sites or Services are appropriate or available for use outside Canada. If you access an AYMRK Media Site from outside Canada, you must comply with all applicable laws. You agree not to export any content from AYMRK Media Sites in violation of applicable export laws and regulations. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. Except as provided in Section 24 (Arbitration and Actions), each party agrees to submit to the jurisdiction of the courts of the Province of Ontario and waives any objections based on venue. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms and Conditions.

22.DECISIONS AND MEDIATION
Except where prohibited by applicable law, any dispute, claim, or controversy arising from these Terms and Conditions, your use of any AYMRK Media Site or Service, or the relationship resulting from these Terms and Conditions (collectively, a “Claim”), which cannot be resolved amicably, will be resolved exclusively through private and confidential binding arbitration in Toronto, Ontario. The arbitration will be conducted in English under Ontario law, governed by the Arbitration Act, 1991 (Ontario), as amended. The arbitrator will be legally trained with experience in the Canadian information technology field and will be independent of both parties. Each Claim will be arbitrated individually and may not be consolidated with any other party’s claims or disputes. You agree to waive any right to initiate or participate in a class action lawsuit related to any Claim and, where applicable, agree to opt out of any class proceedings. However, we reserve the right to seek injunctive or other equitable relief in court to protect intellectual property rights and confidential information.

23.TERMINATION
AYMRK Media reserves the right, at its sole discretion and without prior notice, to suspend or terminate your account, or your access to any AYMRK Media Site or Service, and to remove any related information or content (and your access thereto), for any reason, including if AYMRK Media believes you have violated these Terms and Conditions. AYMRK Media shall not be liable to you or any other person for any such suspension or termination. If you are dissatisfied with any AYMRK Media Site or Service, or with any terms, conditions, rules, policies, guidelines, or practices of AYMRK Media in operating any AYMRK Media Site or Service, your sole and exclusive remedy is to discontinue using them.

24.IDEAS AND/OR RECOMMENDATION SUMMARY
AYMRK Media is continuously improving its websites and Services, including developing new features. If you have ideas or suggestions for improvements or additions, we welcome them. However, any submissions will be subject to these Terms and Conditions. You acknowledge that any disclosure of ideas, suggestions, or related materials to AYMRK Media is not confidential and does not create an expectation of compensation. By submitting ideas, suggestions, or related materials to AYMRK Media, you waive any rights in them and represent and warrant that they are wholly original to you, without rights held by any other party. AYMRK Media is free to implement or modify these submissions without seeking permission or licenses from third parties.

25.OVERALL TERMS
This agreement is personal to you, and you may not transfer your rights or obligations to anyone else. These Terms and Conditions constitute the entire agreement between you and AYMRK Media regarding your use of AYMRK Media’s Site, Services, and Content, and they replace any prior agreements between you and AYMRK Media on this subject. AYMRK Media’s failure to enforce any provision of these Terms and Conditions shall not be considered a waiver of its right to enforce such provision. If any part of these Terms and Conditions is found to be invalid or unenforceable by a court, the rest of the Terms and Conditions will still apply. Changes to these Terms and Conditions will only be effective when posted on this page or as otherwise explicitly stated herein. The parties have agreed that these Terms and Conditions and all related documents will be written in English.

26.ACCEPTANCE OF RCS MESSAGES

By using our services and providing your mobile phone number, you consent to receive messages from us via RCS (Rich Communication Services). These messages may include, but are not limited to:

1. Transaction alerts and confirmations
2. Promotional offers and marketing content
3. Important service updates and notifications
4. Personalized recommendations and reminders

We will use RCS messages to communicate relevant information that enhances your experience with our products and services.

You acknowledge and agree that:

1. Standard messaging and data rates may apply depending on your mobile carrier and plan.
2. RCS messages may include rich media (images, videos, or interactive elements) to better convey information.
3. You can opt out of receiving promotional RCS messages at any time by following the instructions provided within the message or by contacting our customer support.

By continuing to use our services, you confirm your acceptance of receiving such communications through RCS, in addition to SMS or other channels where applicable.
